Terms of Service

Effective date: January 1, 2025

Please read these Terms of Service ("Terms") carefully before using CutFlow Systems. By accessing or using our service, you agree to be bound by these Terms. If you do not agree, do not use the service.

1. Acceptance of Terms

By creating an account or otherwise accessing CutFlow Systems (the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms. These Terms constitute a legally binding agreement between you and CutFlow Systems. Your continued use of the Service constitutes your ongoing acceptance of any updates to these Terms.

2. Description of Service

CutFlow Systems is a software-as-a-service (SaaS) application that provides coil slitting and flat sheet optimization tools for manufacturing and production environments. The Service is offered in two tiers:

Free tier: Limited number of optimization runs per month at no cost.
Pro tier: Unlimited optimization runs, PDF export, and additional features for a monthly subscription fee.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Accounts

To access most features of the Service, you must create an account. You agree that:

You are at least 18 years of age or the legal age of majority in your jurisdiction.
You will provide accurate, current, and complete information during registration and keep it updated.
You are responsible for maintaining the confidentiality of your account credentials.
You are responsible for all activity that occurs under your account.
You will notify us immediately if you suspect unauthorized access to your account.

We reserve the right to terminate accounts that contain false information or are used in violation of these Terms.

4. Subscription and Billing

The Free tier is available at no charge, subject to usage limits. The Pro tier is billed on a monthly basis via Stripe, our third-party payment processor. By subscribing to Pro, you authorize us to charge your payment method on a recurring monthly basis until you cancel.

Auto-renewal: Your subscription will automatically renew each month unless cancelled before the renewal date.
Cancellation: You may cancel your subscription at any time through the Billing Portal accessible from your account settings. Cancellation takes effect at the end of the current billing period.
Refunds: We do not offer refunds for partial months or unused portions of a billing period.
Price changes: We may change subscription prices with at least 30 days' notice. Continued use after the effective date constitutes acceptance of the new pricing.

All fees are exclusive of taxes. You are responsible for any applicable taxes.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

Reverse engineer, decompile, disassemble, or attempt to derive source code from the Service.
Use the Service in any way that could damage, disable, overburden, or impair it.
Attempt to gain unauthorized access to any part of the Service or its related systems.
Use the Service for any illegal, fraudulent, or harmful activity.
Scrape, mine, or otherwise extract data from the Service in bulk without prior written consent.
Use the Service to infringe any third party's intellectual property rights.

6. Intellectual Property

The Service, including its interface, design, algorithms, code, and all associated content, is owned by CutFlow Systems and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

You retain full ownership of any data, files, or input you provide to the Service. By submitting data, you grant us a limited license to process it solely for the purpose of delivering the Service to you.

7. Data and Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. We use Supabase for authentication and data storage, and Stripe for payment processing. By using the Service, you consent to the data practices described in the Privacy Policy.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Optimization results are provided as computational suggestions only. You are responsible for verifying results before use in any manufacturing or production context.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CUT FLOW AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid us in the three months preceding the claim.

10. Termination

We reserve the right to suspend or terminate your account and access to the Service, with or without notice, if we reasonably believe you have violated these Terms or applicable law.

You may delete your account at any time from the Settings section of the application. Upon account deletion, your data will be removed in accordance with our Privacy Policy. Any active Pro subscription will be cancelled at the end of the current billing period.

11. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you via email or a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.
